Terms of Service

These Terms of Service govern your access to and use of NivoraTools, including our web tools, account features, generated outputs, documentation, support channels, and related services. By accessing or using NivoraTools, you agree to these Terms. If you use NivoraTools for a company, organization, or other entity, you confirm that you have authority to accept these Terms for that entity.

1. Using NivoraTools

NivoraTools provides online utilities and productivity tools that may process text, files, URLs, technical data, or other inputs you provide. You are responsible for the information you submit, the settings you choose, and how you use any result produced by the platform. You must use the service only in a lawful, responsible, and respectful way.

• You must provide accurate account, billing, and contact information when required.
• You must keep your login credentials confidential and notify us if you suspect unauthorized access.
• You must not interfere with, overload, reverse engineer, or attempt to bypass NivoraTools security, rate limits, or access controls.
• You must not use NivoraTools to violate another person's privacy, intellectual property, contractual rights, or legal rights.

2. Accounts and Security

Some features may require an account. You are responsible for all activity under your account unless the activity results from a security failure controlled by NivoraTools. We may suspend or restrict an account when we reasonably believe it is being misused, compromised, or used in violation of these Terms or our Acceptable Use Policy.

3. Plans, Billing, and Renewals

Free and paid plans may have different features, quotas, limits, or support levels. Paid subscriptions renew according to the billing terms shown at checkout unless cancelled before renewal. Taxes, payment processor fees, currency conversion charges, and bank charges may apply. If payment fails, we may limit paid features until the issue is resolved.

Unless a separate refund policy or local law says otherwise, fees already paid are non-refundable except where required by law or where NivoraTools confirms a billing error. Cancelling a subscription stops future renewal but does not automatically delete your account.

4. User Content and Tool Inputs

You retain ownership of content, files, text, URLs, data, and other material you submit to NivoraTools. You grant NivoraTools a limited right to host, process, transmit, store, display, and use that material only as needed to provide, secure, troubleshoot, maintain, and improve the service. Do not submit secrets, credentials, regulated data, or confidential material unless the specific tool and your plan are designed for that use.

5. Outputs and Reliance

Tool outputs may be generated automatically from your inputs or third-party data. You are responsible for reviewing outputs before relying on them. NivoraTools does not guarantee that outputs are complete, accurate, secure, current, legally compliant, or suitable for any particular use. For professional decisions, including legal, medical, tax, accounting, engineering, financial, or security decisions, consult a qualified professional.

6. Intellectual Property

NivoraTools, including our platform design, software, workflows, brand assets, documentation, and service content, is owned by NivoraTools or its licensors and is protected by applicable intellectual property laws. These Terms do not transfer ownership of the platform to you. You may not copy, sell, sublicense, scrape, frame, or commercially exploit the service except as allowed by these Terms or written permission from NivoraTools.

7. Third-Party Services

NivoraTools may integrate with payment processors, analytics providers, hosting providers, APIs, external websites, or other third-party services. Those services may have their own terms and privacy practices. We are not responsible for third-party services that we do not control, but we choose providers with practical security and reliability considerations in mind.

8. Prohibited Conduct

You must follow our Acceptable Use Policy. In particular, you must not use NivoraTools for illegal activity, abuse, harassment, malware, spam, credential theft, unauthorized scanning, infringement, evasion of law enforcement, or activity that creates a risk of harm to people, systems, or property.

9. Service Changes and Availability

We may add, change, limit, suspend, or discontinue tools or features. We aim to keep NivoraTools useful and available, but we do not promise uninterrupted operation. Maintenance, security incidents, provider outages, software bugs, network issues, or usage spikes may affect availability.

10. Termination

You may stop using NivoraTools at any time. We may suspend or terminate access if you violate these Terms, create risk for the platform or other users, fail to pay fees, or use the service in a way that could create legal or security exposure. After termination, sections that by their nature should survive will continue to apply, including ownership, disclaimers, limitation of liability, payment obligations, and dispute terms.

11. Disclaimers

NivoraTools is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation. Some jurisdictions do not allow certain disclaimers, so some limitations may not apply to you.

12. Limitation of Liability

To the maximum extent permitted by law, NivoraTools will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity, or security. Our total liability for claims relating to the service will not exceed the amount you paid to NivoraTools for the service during the three months before the event giving rise to the claim, or 100 USD if you used only free services.

13. Indemnity

You agree to defend, indemnify, and hold NivoraTools harmless from claims, damages, liabilities, costs, and expenses arising from your content, your use of the service, your violation of these Terms, or your violation of law or third-party rights.

14. Changes to These Terms

We may update these Terms to reflect changes in our service, law, security practices, or business operations. When changes are material, we will take reasonable steps to notify users, such as posting the updated terms or showing an in-product notice. Continued use of NivoraTools after changes become effective means you accept the updated Terms.
